Every off-standard clause, surfaced before you sign.

The challenge

When a counterparty sends their paper, the in-house team has to read it against the company's standard positions and fallback terms to find where it deviates. Doing that clause by clause, by eye, is slow and easy to get wrong under deadline.

The solution

Playbook checks the incoming draft against the department's standard terms and flags each off-standard clause, while built-in doc comparison shows it against the company's own template. The team sees exactly where the paper deviates and reviews with a defensible record in hand.

Key Capabilities Used:

Playbook; Built-in doc comparison.

Navigate to the counterparty's draft in the next-gen iManage platform and run the department's saved contract Playbook. Discover which documents pass the standard terms and fallback position and find out which don't and why.

The playbook checks the draft against the company's standard terms and flags any clause that falls outside policy, along with the fallback position that applies.

Where a clause has been redrafted from the company's own template, launch built-in doc comparison against that template.

The next-gen iManage platform generates a side-by-side view highlighting every addition, deletion, and modification, so the team sees precisely how the counterparty's wording differs.

Work through the flagged clauses in priority order, using the comparison and the playbook's policy notes together to decide what to accept, push back on, or escalate. Once agreed, edit your playbook to reflect the agreed standards and rerun your new document version to ensure your policy will be accepted.

The team completes a first-pass review with a clear, defensible record of every deviation from standard.
